YOUR SUBSCRIPTION IS SUBJECT TO THE FOLLOWING TERMS AND CONDITIONS:

Agreement between Ticon UK Limited (We) and Customer (You)

1. Service Access and License

You receive a paid, non-exclusive licence to use OpenOpps.com and its content.
Access is granted between the Start Date and the Expiry Date and subject to payment of fees.
Licences are non-transferable and cannot be sublicensed.
You may provide access to OpenOpps.com to any of your employees.
We reserve the right to modify or discontinue any part of the service with reasonable notice.

2. Our Service Commitment

We provide OpenOpps.com on a “best efforts” basis.
While we strive for accuracy, we cannot guarantee the completeness or accuracy of data.
We reserve the right to make necessary maintenance or security updates.
Service availability target is 99.5%, excluding scheduled maintenance.

3. Payment and Service

Suspension
We reserve the right to:
Suspend your access if payment is not received by the due date;
Restore access once full payment is received;
Terminate the agreement if payment remains outstanding;
Modify pricing with 30 days notice for recurring subscriptions.

4. Usage Restrictions

You agree not to:
Share or distribute content with non-licensed users;
Create competing products or services using our platform;
Use our data in AI, machine learning, or chatbot tools without our written permission;
Attempt to reverse engineer or decrypt any part of the service.

5. Confidentiality

Both parties agree to maintain the confidentiality of any sensitive information.
This obligation survives the termination of the agreement.
Excludes information that becomes public through no fault of the receiving party.

6. Data Protection and Privacy

We process personal data in accordance with UK data protection laws.
You are responsible for obtaining necessary consents from your users.
We may anonymize and aggregate usage data for analysis purposes.

7. Termination

You may terminate with 30 days written notice.
Immediate termination is permitted for material breach of this agreement.
Upon termination, you must cease all use of the service.
You are responsible for extracting your data before account closure.

8. Liability and Limitations

Our maximum liability is limited to the total amount you paid for the service.
We are not liable for: service disruptions; data loss or corruption; security breaches; indirect
losses or damages; loss of profits or business opportunities or any damages resulting from your
use of the service.

9. Force Majeure

Neither party is liable for failures caused by circumstances beyond reasonable control.
Including but not limited to natural disasters, war, government actions, or network failures.

10. Governing Law and Jurisdiction

This agreement is governed by the laws of England and Wales.
Any disputes will be resolved exclusively in the courts of England and Wales.
You agree to submit to the personal jurisdiction of these courts.

11. Miscellaneous

If any provision is found invalid, the remaining provisions remain in effect.
This agreement constitutes the entire agreement between parties.
Any modifications must be in writing and signed by both parties.
